TERMS AND CONDITIONS Info Scaler LLC Effective Date: July 21, 2025

RECITALS

WHEREAS, Info Scaler LLC ("Info Scaler") possesses specialized skills and experience in revenue operations, business growth, and digital marketing, particularly in aiding and assisting clients with sales team management, funnel optimization, CRM setup, and scaling online business ventures;

AND WHEREAS, the Client seeks to engage the services of Info Scaler to help grow their business by following Info Scaler's guidance and participating in the growth partnership program;

NOW, THEREFORE, for and in consideration of the mutual covenants contained herein, and other valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties agree as follows:

1. SCOPE OF SERVICES

Info Scaler shall provide comprehensive business growth and revenue operations services, focusing on methods and strategies designed to help the Client scale their business. These services include, but are not limited to, management of the client's community and sales team, email campaigns, landing page development, backend system setup, CRM configuration, funnel optimization, sales team staffing and training, consulting, and overall business management. Services are delivered through course material, online video sessions, telephonic consultations, live coaching calls, and digital communication via messaging platforms.

2. CLIENT COMMITMENTS AND STIPULATIONS

The Client agrees to fully engage in the growth partnership process and agrees to the following terms:

a. Work through 100% of the provided course material and onboarding resources.

b. Diligently engage within the community and with the Info Scaler team to achieve success.

c. Complete a minimum of 30 days in the program before requesting any modifications to the agreement.

d. In the event the Client cannot attend scheduled calls due to time zone differences or other reasons, the Client must watch all call recordings to remain aligned with program progress.

e. Provide Info Scaler with timely access to all platforms, tools, accounts, and information reasonably necessary to perform the agreed-upon services.

f. Fulfill all payment obligations on time as outlined in the applicable Growth Partnership Agreement, including the retainer fee and revenue share percentages on the 1st and 15th of each month.

3. DELIVERABLES OF INFO SCALER

Info Scaler commits to delivering the following services:

a. Comprehensive setup and management of backend systems, including CRM, sales pipelines, and marketing funnels.

b. Sales team staffing, onboarding, and ongoing management under the Info Scaler company structure.

c. Regularly scheduled coaching calls and strategy sessions to provide direct support, answer questions, and align on growth objectives.

d. Email campaign execution, landing page builds, and marketing asset development as scoped in the partnership agreement.

e. Timely communication and constructive feedback through telephonic or messaging platforms within agreed response windows.

4. INTELLECTUAL PROPERTY

The Client retains all rights to their intellectual property, including content, brand, and trademarks. By entering this agreement, the Client grants Info Scaler and its team members the access and permissions necessary to manage backend systems, build and optimize offers, and scale operations. Info Scaler retains ownership of its proprietary methodologies, frameworks, templates, and tools used in delivering services. Sales team members operate under and belong to Info Scaler LLC at all times.

5. TERMINATION OF AGREEMENT

  1. Info Scaler LLC abides by a no refund policy on ALL transactions. It would not be fair to our team if we invested time, resources, and labor into your business only for a refund to be requested after services have been rendered.

  2. Both parties are required to provide 30 days written notice prior to terminating this agreement. This notice period exists to ensure proper transition, continuity of any ongoing business, and protection of both parties' interests.

  3. If any of the commitment terms are broken by the Client, Info Scaler reserves the right to terminate services immediately with written notice and pursue legal action to recover any damages sustained by the business.

  4. If either party breaches any material term of this Agreement, the non-breaching party may terminate with written notice. Both parties are expected to treat this engagement as a long-term partnership built on mutual accountability and shared success.

6. DISPUTE POLICY & FRAUD DECLARATION

  1. All disputes, chargebacks, and payment reversals filed against Info Scaler LLC are hereby classified as fraudulent actions. By signing this Agreement and engaging with Info Scaler LLC, the Client acknowledges that services are rendered in good faith and in accordance with the agreed scope. Any attempt to reverse, dispute, or chargeback a payment after services have been delivered, initiated, or are actively in progress constitutes an attempt to obtain services without lawful compensation, which is defined under this Agreement as fraud.

  2. Info Scaler LLC maintains thorough documentation of all engagements, including but not limited to: signed contracts, payment records, communication logs, call recordings, platform activity, onboarding completions, and service delivery confirmations. In the event of any dispute or chargeback, Info Scaler LLC will present this body of evidence in full to the applicable payment processor, financial institution, arbitration body, and/or court of law, and will pursue the matter until fully resolved in its favor.

  3. Info Scaler LLC has a consistent and documented track record of successfully defending against fraudulent disputes and will exercise every available legal remedy against bad-faith claims, including recovery of the disputed amount, legal fees, court costs, and damages for reputational or financial harm caused by false or misleading claims.

  4. The Client expressly waives the right to initiate a chargeback or third-party payment dispute as a substitute for the dispute resolution process outlined in this Agreement. Any attempt to circumvent this Agreement through a financial institution or payment processor will be treated as a material breach of contract and will trigger immediate legal action.

  5. By signing below, the Client confirms they have read, understood, and agreed to this Fraud Declaration in full.

7. CONFIDENTIALITY

Both parties agree to keep confidential any information disclosed during the term of this Agreement, including but not limited to business strategies, customer lists, revenue data, sales processes, proprietary systems, and marketing assets. This obligation survives the termination of this Agreement.

8. LIABILITY

Neither party shall be liable for any indirect, special, incidental, consequential, or punitive damages arising out of or relating to this Agreement. Info Scaler does not guarantee specific revenue outcomes, as results are dependent on the Client's commitment, market conditions, and execution of the agreed strategy.

9. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of Florida.

10. ENTIRE AGREEMENT

This Agreement, including all exhibits and Growth Partnership Agreements referenced herein, constitutes the entire agreement between the parties concerning the subject matter hereof. This Agreement supersedes all prior negotiations, agreements, and understandings between the parties, whether written or oral. No amendment, change, or modification of this Agreement shall be valid unless in writing and signed by both parties.

IN WITNESS WHEREOF, the parties have agreed to these Terms and Conditions as of the Effective Date.
